These Terms of Service (“Terms”) govern your access to and use of the DarkBeacon website, online store, software, applications, products, digital content, and services (collectively, the “Services”) provided by DarkBeacon (“DarkBeacon,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

Eligibility

You must be at least 13 years old to use the Services. If you are under 18 (or the age of majority in your jurisdiction), you may use the Services only with the consent and supervision of a parent or legal guardian.

Accounts and Registration

Certain features of the Services require you to create an account (including access to software features, cloud configuration, community functions, or purchases). You agree to provide accurate, current, and complete information and to keep such information updated.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us promptly.

We may suspend or terminate accounts that violate these Terms, applicable laws, or pose security, legal, or operational risks. Account information may be synchronized between our software ecosystem and e-commerce systems to support purchases, downloads, device management, and customer support.

Orders, Products, and Pricing

Product Information

We strive to display product descriptions, specifications, and pricing accurately. However, we do not guarantee that all information is error-free, complete, or current. We may correct errors and update information at any time without prior notice.

Order Acceptance

All orders are subject to acceptance and availability. We reserve the right to refuse, cancel, or limit any order at our discretion, including for suspected fraud, unauthorized activity, pricing errors, inventory issues, or misuse.

Payments

Payments are processed by third-party payment providers. DarkBeacon does not store full payment card details. By submitting payment information, you represent that you are authorized to use the payment method and authorize us (through our providers) to charge the applicable amount.

Shipping, Delivery, and Risk of Loss

Shipping and Delivery Estimates

Shipping and delivery times are estimates only and are not guaranteed. Delays may occur due to carrier constraints, customs processing, weather, security checks, peak seasons, or other factors beyond our control.

Risk of Loss

Unless otherwise required by applicable law, risk of loss passes to you upon delivery of the product to the carrier. If a shipment is marked as delivered by the carrier, we are not responsible for loss or theft after delivery except where required by law.

If you experience delivery issues, please contact support@darkbeacon.ai promptly so we can review the situation and determine available options.

Taxes, Duties, and Import Fees

You are responsible for any applicable taxes, customs duties, import fees, or similar charges imposed by your local authorities, unless otherwise stated at checkout.

Digital Products, Virtual Goods, and Gift Cards

Digital Products and Virtual Goods

Digital products and virtual goods (including but not limited to virtual audio packs, downloadable content, software-related add-ons, and other digital items) are delivered electronically.

Except where required by law, digital products and virtual goods are generally non-refundable once payment is completed and delivery has occurred or access has been provided. Limited exceptions may apply in cases of verified technical defects or content usability issues, and any such exception will be evaluated on a case-by-case basis.

Gift Cards

Gift cards have no cash value (except where required by law) and may not be resold. Gift cards may be used only as permitted on our Services. Lost or stolen gift cards will not be replaced unless required by law.

Promotions and Discounts

Promotional offers, discount codes, and credits are subject to additional terms disclosed at the time of the offer and may be modified or terminated at any time.

Subscriptions and Email Communications

Email Marketing and Service Messages

By subscribing to our mailing list or providing your email through the Services, you consent to receive transactional messages (such as order confirmations and service notices) and, where permitted by law, marketing communications. You may unsubscribe from marketing emails at any time using the link in our emails. Unsubscribing will not stop transactional or service-related emails.

Subscription Services

Certain Services may be offered on a subscription basis. Subscription terms, pricing, billing frequency, renewal (including automatic renewal), cancellation, and refund eligibility (if any) will be disclosed at the time of purchase or sign-up. If you purchase a subscription, you authorize us (through our payment providers) to charge your payment method on a recurring basis until you cancel in accordance with the disclosed subscription terms.

Software, Firmware, and App License

License Grant

DarkBeacon software and firmware are licensed, not sold. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the software and firmware solely for your personal, non-commercial use in connection with DarkBeacon products and the Services.

Restrictions

You may not (and may not attempt to):

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, or underlying ideas;
  • Modify, adapt, translate, or create derivative works of the software or firmware;
  • Bypass, disable, or circumvent security, access controls, DRM, or authentication mechanisms;
  • Use the Services for unlawful purposes, abusive behavior, or to infringe the rights of others;
  • Rent, lease, sell, resell, distribute, or commercially exploit the software except as expressly permitted by us.

Updates and Changes

We may provide updates, patches, bug fixes, or feature changes to the software, firmware, or Services. Some updates may be required for continued functionality or security. Features may change or be discontinued at any time.

Cloud Features, Community, and User Content

Cloud Services

The Services may include cloud-based features such as saving and syncing configurations, profiles, and settings across devices. You are responsible for maintaining backups of your content to the extent you deem necessary.

User-Generated Content and License

The Services may allow you to submit, upload, publish, share, or otherwise make available content such as configurations, profiles, comments, images, or other materials (“User Content”). You retain ownership of your User Content.

By submitting User Content, you grant DarkBeacon a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for technical formatting), distribute, publicly display, and otherwise use your User Content as necessary to operate, promote, improve, and provide the Services.

Community Rules

You agree not to upload or share User Content that:

  • Is unlawful, deceptive, defamatory, harassing, hateful, or threatening;
  • Infringes intellectual property, privacy, publicity, or other rights;
  • Contains malware, spyware, or other harmful code;
  • Attempts to exploit, harm, or target minors;
  • Violates applicable laws or regulations.

Moderation

We may (but are not obligated to) monitor, review, edit, or remove User Content and may suspend or terminate accounts for violations of these Terms. We do not guarantee that User Content will be available or retained.

User Reviews and Testimonials

The Services may allow users to submit reviews, ratings, or testimonials. User reviews reflect the views of the individual users and do not represent the views of DarkBeacon. We do not guarantee the accuracy of user reviews.

We may remove or restrict reviews that violate these Terms or applicable laws, including reviews that are unlawful, infringing, or abusive. We may also use reviews or testimonials for marketing or promotional purposes, subject to applicable laws.

Third-Party Links and Third-Party Services

The Services may include links to third-party websites, services, or content (including social platforms, payment providers, community tools, and external resources). Such links are provided for convenience only and do not constitute endorsement.

DarkBeacon is not responsible for the content, security, availability, or privacy practices of third-party websites or services. Your use of third-party services is at your own risk and subject to the third party’s terms and policies.

Purchases Through Third-Party Platforms

DarkBeacon products may also be available through third-party marketplaces or authorized sellers. For purchases made through third-party marketplaces or authorized sellers, returns, refunds, and after-sales service matters are primarily governed by the policies of the platform or seller where the purchase was made. Please contact the relevant platform or seller directly for assistance.

Intellectual Property

All trademarks, logos, designs, text, graphics, software, and other materials provided through the Services are owned by DarkBeacon or its licensors and are protected by intellectual property laws.

Except as expressly permitted, you may not use, reproduce, distribute, create derivative works from, or otherwise exploit any portion of the Services without our prior written consent.

Prohibited Conduct

You agree not to:

  • Use the Services in any manner that violates applicable laws or regulations;
  • Interfere with, disrupt, or attempt to compromise the integrity or security of the Services;
  • Attempt unauthorized access to any accounts, systems, or networks connected to the Services;
  • Use automated means (bots, scrapers) to access or collect data from the Services without authorization;
  • Engage in fraudulent, abusive, or harmful conduct.

Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law. Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination will survive.

Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, DarkBeacon disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. This disclaimer does not limit any rights that cannot be waived under applicable law, nor does it exclude any express, written limited warranty provided with a product. We do not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of Liability

To the maximum extent permitted by law, DarkBeacon and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, DarkBeacon’s total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to DarkBeacon for the applicable product or service giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless DarkBeacon and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Services, your User Content, or your violation of these Terms.

Dispute Resolution; Arbitration and Class Action Waiver (U.S. Users)

Please contact us first to resolve any dispute informally. If a dispute cannot be resolved, and to the extent permitted by law, you and DarkBeacon agree that disputes will be resolved through binding arbitration on an individual basis, and not in court.

Class Action Waiver: To the extent permitted by law, you agree that you may bring claims against DarkBeacon only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Some jurisdictions do not allow certain arbitration provisions or class action waivers. If those laws apply to you, some or all of the above may not apply.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to conflict of law principles, except where mandatory consumer protection laws apply.

Force Majeure

DarkBeacon shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, labor disputes, war, terrorism, government actions, internet or infrastructure failures, and carrier or supplier disruptions.

Severability; Assignment; Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.

These Terms, together with any additional terms disclosed at the time of purchase or use, constitute the entire agreement between you and DarkBeacon regarding the Services and supersede any prior agreements.

Changes to These Terms

We may update these Terms from time to time. Any changes will be effective when posted with an updated “Last Updated” date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
